General Description

This course aims to equip trainees with the theoretical concepts and essential practical skills in the field of the regulatory and legal framework for governance in the Kingdom of Saudi Arabia, and to link them to the organization’s legal form, activities, licensing, and operational compliance in accordance with the best international standards and relevant regulatory frameworks.

The course covers an analysis of the structure of the Saudi regulatory environment and the hierarchy of sources and regulatory authorities, as well as an exploration of the components of the Companies Law and its Implementing Regulations, duties of care and loyalty, conflicts of interest, and financial statements. It also examines corporate governance frameworks for listed joint-stock companies in the financial market, as well as the requirements of the Saudi Central Bank (SAMA) and sector-specific and cross-sector regulatory authorities, such as the Insurance Authority, the Data and Artificial Intelligence Authority (Personal Data Protection Law), and the National Cybersecurity Authority.

The course focuses on developing skills in reading and analyzing regulatory texts and extracting obligations that can be managed and monitored, distinguishing between requirements, obligations, regulatory controls, and evidence, with emphasis on accurately determining the scope of applicability, assigning ownership of implementation and internal controls, identifying compliance evidence, and managing regulatory changes and amendments.

The course also includes studying the methodology for developing a Regulatory Inventory, an Obligations Register, and compliance alignment, as well as applying practical cases and interactive simulations for financial institutions and listed and unlisted companies in the Saudi environment. This aims to prepare professionals capable of developing a Regulatory Obligations Map and an integrated governance and compliance framework that meets contemporary business needs and supports the governance and compliance system.

  7. Reads a regulatory text and extracts the addressee, requirement, obligation, deadline, expected responsible party, and evidence.
  8. Develops a Regulatory Inventory and Obligations Register and converts them into a traceable and reviewable Regulatory Obligations Map.
